Chapter Bylaws
The Western North Carolina Chapter of the Military Officers Association of America (WNC-MOAA)
operates under a set of bylaws that guide how the Chapter is governed, how decisions are made,
and how we serve our members and the broader military community.
Purpose and Mission
The bylaws establish WNC-MOAA as a nonprofit, nonpartisan organization dedicated to supporting
uniformed service members - past, present, and future - and their families. The Chapter exists to
foster fellowship, advocate for military and veterans’ issues, and provide meaningful programs
and outreach within Western North Carolina.
Membership
Membership is open to officers of the uniformed services, surviving spouses, and other eligible
individuals as defined by national MOAA guidelines. The bylaws outline member rights,
responsibilities, dues, and participation in Chapter activities and governance.
Governance and Leadership
WNC-MOAA is governed by an elected Board of Directors, which includes officers such as
President, Vice President(s), Secretary, and Treasurer. The bylaws define:
- Board composition and authority
- Officer duties and responsibilities
- Term lengths and term limits
- Appointment of committee chairs and special positions
This structure ensures continuity, accountability, and fresh leadership.
Meetings and Decision-Making
The bylaws set standards for:
- Regular membership meetings

- Voting procedures (including electronic voting when appropriate)
These provisions allow the Chapter to operate efficiently while maintaining transparency and
member involvement.
Committees and Programs
Standing and special committees may be established to support key Chapter functions such as
membership, legislative affairs, community outreach, events, and communications. Committees help
engage members and advance the Chapter’s mission.
Financial Oversight
The bylaws include safeguards for responsible financial management, including budgeting,
authorized expenditures, and annual reporting. All funds are used solely to support the
Chapter’s mission and activities.
Amendments and Compliance
The bylaws may be amended by the Board or membership in accordance with defined procedures.
All Chapter operations comply with applicable federal and North Carolina nonprofit laws, as
well as national MOAA policies.
